ONLINE HANDICAPPING CHALLENGE

The Tournament:

XpressBet's Dime-A-Day Saratoga Online Handicapping Championship is a competition between registered XpressBet account holders and registered DelMarBets.com account holders in which players attempt to earn the highest mutuel payoff each day based on a single, ‘live’ $10 win, place or show wager on one horse in any pari-mutuel wagering race offered at Saratoga. The Saratoga race meeting is scheduled for 36 racing days from July 29, 2009 through Sept. 7, 2009. The competitor who earns the highest mutuel payoff each day will earn $1,000, which will be deposited directly to the winner’s XpressBet wagering account the next day.

The competitor with the most cumulative contest earnings over the course of the entire season --July 29, 2009 through September 7, 2009— based on total combined earnings of all daily contest wagers, will earn one seat in the DRF/NTRA National Handicapping Championship, tournament lodging, plus $500 for airfare.

• Account holders must register for the competition online at www.xpressbet.com or online at www.delmarbets.com . Players need to register only once to be eligible to compete each day throughout the 36-day meeting. Registrants must provide account number, name, e-mail address (twice) and telephone number.

• There is a one-time $25 registration fee.

• Each day they choose to play competitors must make a single $10 ‘live’ wager on one horse to either win, place or show in any race at Saratoga.

• Only online wagers on Saratoga races, which are submitted by using the Contest Wager Pad available in XpressBet Classic or Pro, or at DelMarBets.com are eligible for the competition. Wagers placed using the traditional non-Contest Wager Pad or Wagers placed by telephone do not qualify. Wagers placed in any other manner do not count in the competition.

• DO NOT CANCEL CONTEST WAGERS. Cancelled Contest Wagers will result in disqualification from that day’s competition. Players are eligible to compete on another day in the tournament and remain eligible for seasonal prize.

• Player Accounts will be credited with winnings for all competition wagers and debited for all losing competition wagers.

• One registration per account holder only.

• Players may compete as often as each racing day or whenever they like. There is no limit to the amount of times a player may win a prize.

• In the event of a tie for the top daily mutuel payoff the $1,000 prize will be divided evenly between all tied players.

• If two or more players are tied in overall cumulative earnings the following tie-breaker procedure will be followed:

a. the player with the most unique $1,000 daily prize awards will be declared the winner.

b. If two or more players are still tied, the player with the most unique $1,000 daily prizes and shared $1,000 daily prizes will be declared the winner.

c. If two or more players are still tied the final tie-breaker will go to the player who first registered for the tournament.

• Only online wagers on races from Saratoga which are submitted as competition wagers (by entering competition wagers via the Contest Wager pad (Classic, Pro, DelMarBets.com) are eligible for competition. Wagers placed in any other fashion do not qualify.

To Enter:

Participants must register for the Tournament by following instructions on the homepage of the XpressBet website located at www.xpressbet.com or at www.delmarbets.com . Participants must have an XpressBet or DelMarBets.com account in good standing. One (1) account per person. One (1) registration per person.

Registered entrants must place a single $10.00 ‘live’ win, place or show online wager on one (1) horse in any pari-mutuel race at Saratoga. Registered entrants must use their online XpressBet or DelMarBets.com wagering account to place wagers in order for the wagers to be eligible. Wagers must be submitted via the Special Contest Wager Pad only to be eligible. Wagers submitted in any other fashion will not count in the competition.

Wagers on scratched horses earn zero in the competition. If a player notices that his horse is scratched in a particular race he may submit another $10 win wager on another horse in that race or in another race on that day’s card or decline to play that day. Player must use the Contest Wager Pad to submit all tournament plays including replacement plays for scratched horses. Once a late scratch is processed by tote the Contest Wager Pad will be available for submission of replacement wagers on scratched horses.

Do Not Cancel Contest Wagers. Cancelled Contest Wagers will result in disqualification for that day’s competition. Players are eligible to compete on another day and remain eligible for seasonal prize.

Entries must be made in accordance with these Official Rules; any other attempted form of entry will NOT be accepted. Any use of robotic, automatic, macro, programmed or like call-in or registration entry or wager methods will void all such entries by such methods, and result in disqualification of any entrant using such methods.

Participants are only eligible to win as often as possible during the competition.

Results for each day will be posted on the XpressBet web site and winners will be notified within one week of earning their prize. Prizes will be awarded as soon as winner qualification is verified.

Tournament Dates:

Each racing day at Saratoga Race Course, beginning July 29, 2009 through September 7, 2009.

Legal and Eligibility:

XpressBet’s Dime-A –Day Saratoga Online Handicapping Tournament ("Tournament") is offered only in the United States (where legal) and is open only to legal U.S. residents (of such jurisdictions where Tournament is lawfully offered), 21years or older as of July 29, 2009. Employees, officers and directors (and their immediate families [parents, children, spouses and siblings] regardless of where they live and members of their same households [whether related or not]) of XpressBet, Inc., its parent, subsidiaries, affiliates and agencies; and entities engaged in the development, distribution, implementation or administration of the Tournament are not eligible to enter. Follow all instructions, first providing your name, complete residential address (including zip code), telephone number, date of birth, social security number, email address and mailing address (if different from residential address). You will also be asked if you wish to receive email updates about XpressBet, Inc.; you may complete and submit the application (and register for the Tournament) without consenting to receive such email updates. If submitting application online, indicate your preference by either retaining or removing the checkmark from the designated box. Then, select a username and password, security question and answer, and PIN and Account password for your XpressBet account. Upon completion of these steps, and valid id check, you will be assigned a unique XpressBet Account Number. As part of the application procedure, you may then also activate your XpressBet account for wagering by depositing funds into the account. DelMarBets.com applications are accepted online at www.delmarbets.com; by calling toll-free (800) 235-9470; or in-person at a DelMarBets.com center located on-track at Del Mar. Follow all instructions, first providing your name, complete residential address (including zip code), telephone number, date of birth, social security number, email address and mailing address (if different from residential address). You will also be asked if you wish to receive email updates about DelMarBets.com; you may complete and submit the application (and register for the Tournament) without consenting to receive such email updates. If submitting application online, indicate your preference by either retaining or removing the checkmark from the designated box. Then, select a username and password, security question and answer, and PIN and Account password for your DelMarBets.com account. Upon completion of these steps, and valid id check, you will be assigned a unique DelMarBets.com Account Number. Selecting Winner:

The winner of the Tournament will be selected from wagers placed by eligible registrations received during the Tournament period. Winner(s) will be determined solely based upon the winnings of the $10 ‘live’ win, place or show contest wager daily. Winner (s) will be determined by XpressBet, Inc. management, whose decisions are final and binding in all respects.

The winner of the seasonal Tournament will be selected from wagers placed by eligible registrations received over the course of the entire Tournament period. Winner(s) will be determined solely based upon the winnings of the $10 ‘live’ win, place or show contest wagers submitted during the entire term of the Tournament. Winner(s) will be determined by XpressBet, Inc. management, whose decisions are final and binding in all respects.

Prizes may not be substituted, transferred or assigned by participants.

Taxes:

Liability for any and all federal, state and local taxes rests solely with the prize winner.

Notification of Winners:

Winners will be notified via one of the following: e-mail, US postal mail or telephone.

Prizes/Odds of Winning:

Names of winners will be posted to the XpressBet and DelMarBets.com web site and winners will be notified within one week of competition.

Odds of winning are determined by number of eligible entries received for the Tournament.

Cash prizes will be deposited to each winner’s XpressBet or DelMarBets.com wagering account.

General Conditions:

In order to be eligible to receive prize, the Prize Winner is obligated, and by entering agrees, to execute an Affidavit of Eligibility, General Release of Liability, Indemnity and Publicity Consent (where legal), which is to be returned to XpressBet within the indicated time period. Non-compliance with this requirement or return of prize notification as undeliverable will result in disqualification and prize forfeiture, with an alternate winner being selected from all remaining eligible entries received for that drawing.

By accepting prize, winner agrees to the use of his or her name, voice, photo, biographical information and/or likeness for promotional/advertising/trade purposes by XpressBet, Inc. and DelMarBets.com and will be required to participate in such publicity communications as XpressBet, Inc. and DelMarBets.com requests without further compensation, except where prohibited by law.

Indemnification:

By registering for the Tournament, each entrant (i) agrees to abide by and be bound by these Official Rules and all decisions of XpressBet, DelMarBets.com and the judges, which are final and binding in all respects; and (ii) releases and holds harmless DelMarBets.com and XpressBet, Inc., its parent company, affiliates and each of their respective directors, officers, employees and agents from any and all liability for any injuries, loss or damage of any kind to persons, including death, or property damage, resulting in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of any prize, or participation in this Tournament.

Limitations of Liability:

XpressBet, Inc. and DelMarBets.com assumes no liability for typographical or other errors in the offer or administration of the Tournament including, without limitation, errors in the printing of the offer and official rules, selection, notification and announcement of the winners, or distribution of the prizes.

DelMarBets.com, XpressBet, Inc., its parent company, affiliates and each of their respective directors, officers, employees and agents shall assume no liability of any kind whatsoever in any cases in which their inability to act results from an event or situation beyond their control, including, but not limited to Acts of God, civil or military authority, acts of public enemy, war, riot, civil disturbance, fire, explosion, earthquake, flood, strike, third party non-performance lockout, labor disturbance, or any other cause beyond the control of a party. In such event, XpressBet, Inc. reserves the right to modify, suspend, or terminate the Tournament and award the prizes, as set forth in Modification/Suspension/Termination below. No responsibility is assumed by DelMarBets.com, XpressBet, Inc. for late, lost, misdirected, damaged, incomplete, illegible registration submissions/phone calls/wagers, postage due mail, disconnected, inaudible, interrupted phone calls, any computer, telephone, cable, satellite, network, electronic or Internet hardware or software malfunctions, failures, connections, availability or garbled or jumbled transmissions, service provider/Internet/web site/use net accessibility or availability, traffic congestion or unauthorized human intervention. XpressBet, Inc. reserves the right, in its sole discretion, to disqualify any individual it finds, in its sole discretion, to be tampering with the entry process or the operation of the Tournament or web site; to be in violation of the Terms and Conditions of Use of the web site, or to be acting in violation of these Official Rules. DelMarBets.com, XpressBet, Inc. is not responsible for any incorrect or inaccurate information, whether caused by web site users or by any of the equipment or programming associated with or utilized in the Tournament and assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the web site.

Modification/Suspension/Termination:

If, for any reason, the on-line and/or telephone component of the Tournament is not capable of running as planned by reason of, but not limited to, infection by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which XpressBet or DelMarBets.com, in its sole opinion, deems could corrupt or affect the administration, security, fairness, integrity or proper conduct of the on-line and/or telephone components of the Tournament, XpressBet or DelMarBets.com reserves the right at its sole discretion to cancel, modify or suspend the on-line and/or telephone components of the Tournament and select the winners for all affected drawing(s) from all eligible deposit entries received by means other than via corrupted component(s) of the Tournament, all eligible wagers entries received via corrupted components of the Tournament prior to and/or after (as appropriate) the action taken by XpressBet/DelMarBets.com and/or call-in entries received for such affected drawing(s) prior to and/or after (as appropriate) the action taken by XpressBet/DelMarBets.com or by some other means determined by XpressBet/DelMarBets.com in its sole discretion to be fair, appropriate and consistent with these Official Rules. In such event, notice will be posted at www.xpressbet.com and at www.delmarbets.com .
